1. General Overview

This website, operated by Vladyslav Vivchar ("teezyjunk," "we," "us," or "our"), provides digital audio files (instrumentals/beats) for licensing. All transactions are securely processed through our Merchant of Record, Paddle.com Market Limited ("Paddle"). By purchasing a product, you are also subject to Paddle's terms of service and policies.

2. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to make a purchase on this website. If you are under 18, you may only use this website with the involvement and consent of a parent or legal guardian. By completing a purchase, you represent and warrant that you meet these eligibility requirements.

3. Digital Goods and Licensing

When you purchase a beat from our store, you are purchasing a license to use the audio file under the specific terms of that license tier. You are not purchasing the underlying copyright or intellectual property of the composition.

• The specific rights, limitations (e.g., stream limits), and permitted uses are determined by the license tier you select during checkout (e.g., MP3 Leasing, Wav Leasing, Unlimited, Exclusive).
• Non-Exclusive Licenses (MP3 Leasing, Wav Leasing, Unlimited): The beat remains the sole intellectual property of Vladyslav Vivchar (teezyjunk). You receive a non-exclusive license to use the beat within the limits specified by your license tier.
• Exclusive License: Upon purchase of an Exclusive license, you receive exclusive rights to use the beat commercially, and the beat will be removed from our store. However, previously sold non-exclusive licenses for the same beat remain valid. The underlying composition copyright is transferred to you upon receipt of full payment, subject to any prior non-exclusive licenses already granted.
• Registering our beats with Content ID or any similar automated copyright detection or protection system is strictly prohibited under all non-exclusive licenses.

4. Prohibited Conduct

You agree not to:

• Reproduce, duplicate, copy, sell, resell, or redistribute the raw, unmodified audio files (beats, stems, or instrumentals) to any third party.
• Sub-license, transfer, or assign your license to another party without our express written permission.
• Use the Service or any purchased product in any way that violates applicable laws or regulations.
• Misrepresent ownership of the underlying composition under a non-exclusive license.

5. Limitation of Liability

To the maximum extent permitted by applicable law, teezyjunk, its owner, affiliates, or agents shall not be liable for any indirect, incidental, punitive, special, or consequential damages of any kind arising from your use of the Service or any products procured using the Service. Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid for the specific product giving rise to the claim.

You (the Licensee) are solely responsible for clearing any third-party samples contained in the beat, if applicable, prior to any commercial release.

6. Indemnification

You agree to indemnify, defend, and hold harmless teezyjunk and its owner from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the licensed material in violation of these Terms or your license agreement, or your violation of any applicable law or third-party rights.

7. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation by contacting us at contact@teezyjunk.com. If the dispute cannot be resolved within thirty (30) days of initial contact, either party may pursue resolution through the competent courts of Ukraine. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief where necessary.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles. If you are a consumer in the European Union, you also retain the protection of the mandatory provisions of the consumer protection laws of your country of residence.

9. Changes to Terms

We reserve the right to update or modify these Terms at any time. Any changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service or purchase of products after such changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

10. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

11. Entire Agreement

These Terms, together with the specific license agreement applicable to your purchase and our Privacy Notice and Refund Policy, constitute the entire agreement between you and teezyjunk regarding the use of the Service and supersede any prior agreements or understandings.
